Terms and Conditions

Welcome to H&S Bookkeeping. These Terms and Conditions ("Terms") govern your use of our website, hsbookkeeping.com, and the bookkeeping, payroll, and tax preparation services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing, browsing, or using the H&S Bookkeeping website, or by engaging our professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. 2. Services Provided

H&S Bookkeeping provides professional bookkeeping and financial services, including but not limited to:

  • Transaction recording and ledger maintenance
  • Bank reconciliation
  • Accounts receivable and payable management
  • Payroll processing and compliance
  • Financial reporting and statement preparation
  • Tax preparation support for individuals, corporations, nonprofits, and trusts

The specific scope, deliverables, and fees for any engagement will be outlined in a separate written service agreement or engagement letter between H&S Bookkeeping and the client.

3. Client Responsibilities

To provide accurate and timely services, clients agree to:

  • Provide complete, accurate, and timely financial information, documents, and records
  • Respond promptly to requests for information or clarification
  • Maintain backup copies of all records and documents submitted to H&S Bookkeeping
  • Notify us promptly of any changes to business structure, ownership, or financial circumstances that may affect our services
  • Pay invoices according to the terms outlined in the engagement letter

H&S Bookkeeping is not responsible for errors, omissions, or delays resulting from inaccurate, incomplete, or untimely information provided by the client.

4. Fees and Payment

Fees for services will be set forth in the engagement letter or service agreement. Unless otherwise specified, invoices are due upon receipt. Late payments may incur interest charges and may result in suspension of services until the account is brought current. All fees are non-refundable once services have been performed.

5. Confidentiality

H&S Bookkeeping is committed to maintaining the confidentiality of all client information. We will not disclose client financial information or business records to any third party without the client's written consent, except as required by law, court order, or regulatory authority. Clients similarly agree to maintain the confidentiality of any proprietary information or methodologies disclosed by H&S Bookkeeping during the course of the engagement.

6. Intellectual Property

All content on the H&S Bookkeeping website—including text, graphics, logos, images, and software—is the property of H&S Bookkeeping or its licensors and is protected by United States and international copyright laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written permission.

7. Disclaimer of Warranties

The information provided on our website and through our services is for general informational and professional purposes only. While we strive for accuracy and completeness, H&S Bookkeeping makes no warranties, express or implied, regarding the website's content or the results obtained from using our services. Our services do not constitute legal, investment, or comprehensive tax advice unless explicitly stated in a written engagement.

8. Limitation of Liability

To the fullest extent permitted by law, H&S Bookkeeping, its owners, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of our website or services. Our total liability for any claim arising from our services shall not exceed the total fees paid by the client to H&S Bookkeeping for the specific service giving rise to the claim during the twelve (12) months preceding the event.

9. Third-Party Links and Software

Our website may contain links to third-party websites, and our services may utilize third-party software (such as accounting platforms). H&S Bookkeeping is not responsible for the content, privacy practices, or availability of any third-party site or software. The use of any third-party service is subject to the terms and policies of that provider.

10. Termination of Services

Either party may terminate the service relationship by providing written notice as outlined in the engagement letter. Upon termination, the client agrees to pay all outstanding fees for services rendered up to the termination date. H&S Bookkeeping will return client records and documentation in accordance with applicable laws and professional standards.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or our services shall be resolved exclusively in the state or federal courts located in Hennepin County, Minnesota.

12. Changes to These Terms

H&S Bookkeeping reserves the right to modify or update these Terms at any time. Updated Terms will be posted on this page with a revised "Last Updated" date. Your continued use of our website or services after any such changes constitutes your acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
